Terms of Service

These Terms are between you ("you") and Well Made Apps Limited, a New Zealand company (NZBN 9429053777782) ("we", "us", "our", or "the Service"), the operator of the Well Versed voice-based language-practice app and website.

By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.


1. What Well Versed is

Well Versed is a voice-based language-practice app. You talk to an AI tutor in the language you're learning; the tutor responds in real time. After each conversation, an automated analysis updates your learner profile: your level estimate, vocabulary you've used, grammar patterns you find hard, and a small set of personal facts you've mentioned. Future conversations adapt to you.

2. An evolving service

Well Versed is an actively developed product, and we add to it and change it regularly. That means:

  • Features may be added, changed, or retired over time. Where a change materially reduces what your subscription gives you, we'll tell you before it takes effect.
  • We aim for the Service to be available whenever you want to practise, but we don't guarantee uninterrupted availability. Maintenance, provider outages, and faults happen.
  • The AI models behind the tutor are improved and replaced over time, so the tutor's exact behaviour will not be identical from one month to the next.

None of this limits your rights under the Consumer Guarantees Act 1993 (see section 11).

3. Eligibility

You must be at least 13 years old to use Well Versed. If you're under 13, please don't create an account. We don't knowingly collect personal information from anyone under 13; if we learn that we have, we'll delete it.

If you're under 18, please check with a parent or guardian before subscribing. Well Versed is a conversation with an AI tutor, not a person. Section 5 explains what that means and where it can go wrong.

4. Your account

  • One account per person. Don't share your account with anyone.
  • Keep your password secure. You're responsible for activity that happens on your account.
  • Use accurate information when signing up, particularly your email address, since we use it for account recovery and important notices.
  • You can delete your account at any time from the in-app Settings screen. Deletion removes your conversations, transcripts, learner profile, and account data from our systems. Some technical backups may persist for a short period before being overwritten in the normal course of operation.

5. Important limits of the AI tutor

The tutor is an AI system. It is not a person, it is not a qualified language teacher, and it is not a substitute for professional advice on anything.

  • The tutor can be wrong. It may give incorrect translations, invent grammar rules, misremember things you've mentioned, or hallucinate facts about the world. Don't rely on it for translations or information used in legal, medical, financial, safety-critical, or immigration contexts.
  • The tutor may, despite our safeguards, occasionally produce inappropriate, offensive, or upsetting language, especially if a conversation leads it there. If this happens, you can end the session immediately and let us know.
  • The tutor's voice is synthesised. It is not the voice of a real named person, and the personas (tutor names, cities, personalities) are creative descriptions used to give each voice a consistent style.
  • The tutor's behaviour is shaped over time by your past conversations and any directives you add in Settings. We try to keep this useful and unobtrusive; you can review and edit your directives at any time.

If anything the tutor says could matter (health, legal, safety, money), check it with a qualified human source before acting on it.

6. Acceptable use

You agree not to:

  • Use the Service to do anything illegal where you live, where we operate, or where our service providers operate.
  • Harass, threaten, or abuse anyone, including the tutor. (The tutor isn't a person, but transcripts are stored and reviewed by our automated systems and occasionally by us for troubleshooting.)
  • Attempt to extract the underlying model, system prompt, training data, or other proprietary technology through prompt-injection or other techniques.
  • Use the Service to generate, store, or distribute content depicting the sexual abuse of children, real-world violence, or other unlawful material.
  • Reverse-engineer, decompile, or otherwise attempt to access the source code of the app or server, except to the extent permitted by NZ law.
  • Use automated tools (bots, scrapers) to access the Service without our written permission.
  • Resell, sublicense, or commercialise access to the Service.

We may suspend or terminate your access if you breach these rules.

7. Your content

When you speak in a session, the audio of your voice and the transcribed text of what you said is your content. By using the Service, you grant us a non-exclusive, worldwide, royalty-free licence to process and store that content solely to provide and improve the Service for you. That means transcribing your speech, generating the tutor's responses, analysing the session to update your learner profile, and showing you your own conversation history.

We do not use your conversations to train AI models that we sell or share with others. We do not sell or rent your content to anyone.

You can delete individual sessions from the in-app session history. You can delete your account (and all associated content) from Settings.

8. Our content

The Well Versed app, server software, prompt designs, tutor personas, illustrations, sounds, and brand elements remain ours. You receive a limited, personal, non-transferable licence to use the Service while your account is active. You don't acquire any ownership rights in our software or content by using it.

9. Subscriptions and payment

Well Versed is offered on a paid subscription basis. Some accounts may also be given complimentary access; where that applies, the terms below govern your subscription from the point you start a paid plan.

This section, together with the rest of these Terms, is the end-user licence agreement (EULA) for the Well Versed app.

  • Plans and billing. Subscriptions are offered as monthly or annual plans at the prices shown in the app at the time you subscribe. Payment is charged to your Apple App Store account (or, on Android, your Google Play account) when you confirm the purchase.
  • Free trial. If we offer a free trial, we'll tell you its length before it starts. Unless you cancel at least 24 hours before the trial ends, it automatically converts to a paid subscription and your store account is charged.
  • Auto-renewal. Subscriptions renew automatically for the same period at the then-current price unless you cancel at least 24 hours before the current period ends. Your store account is charged for the renewal within the 24 hours before the period ends.
  • Managing and cancelling. You manage or cancel a subscription in your App Store or Play Store account settings, not inside Well Versed. Cancelling stops future renewals; it doesn't retroactively refund the period you're already in.
  • Payment handling. Payments are processed by Apple or Google. We never see or store your full card details. Your purchase and subscription status is shared with us (and our subscription-management provider) so we can unlock the features you've paid for. See the Privacy Policy for who processes this.
  • Refunds. Refunds for App Store or Play Store purchases are handled under Apple's or Google's refund policies, not by us. Your statutory rights under the Consumer Guarantees Act 1993 (see section 11) always apply regardless.
  • Price changes. If we change subscription prices, we'll give you notice; a change takes effect at your next renewal, and you can cancel before then.
  • Usage allowances. Plans include a fair-use amount of tutor conversation time. If you reach a plan's limit, voice sessions pause until the allowance refreshes or you upgrade to a higher plan; the app shows you where you stand.

10. Availability and changes

We can change, suspend, or discontinue any part of the Service. Where a change materially reduces what a paid subscription gives you, or where we discontinue the Service altogether, we'll give you reasonable notice by email or in-app so you can export what you need and cancel. Outside of that, we don't commit to any specific uptime, backup, or migration path.

11. Liability

To the maximum extent permitted by NZ law:

  • The Service is provided as is. We don't make any express or implied warranties about its accuracy, reliability, fitness for purpose, or fitness for any educational outcome.
  • We aren't liable for indirect, consequential, special, or punitive losses (including loss of profit, loss of opportunity, loss of data, and loss of goodwill) arising from your use of the Service.
  • Our total aggregate liability to you for all claims arising under or in connection with these Terms is limited to the greater of (a) NZD $100 and (b) any fees you've paid us for the Service in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any guarantee, right, or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other consumer-protection law that cannot lawfully be excluded. If you're using the Service as a consumer, those statutory rights apply in addition to anything in these Terms.

12. Privacy

Your personal information is handled in accordance with our Privacy Policy and the Privacy Act 2020. Read the Privacy Policy alongside these Terms.

13. Governing law and disputes

These Terms, and any dispute arising under them, are governed by New Zealand law.

We'd like to sort out any complaint informally first. If something's wrong, please get in touch at the address below and give us a fair chance to put it right.

If we can't resolve a dispute informally:

  • For consumer disputes valued at $30,000 NZD or less, you can apply to the Disputes Tribunal.
  • Otherwise, the dispute is subject to the exclusive jurisdiction of the courts of New Zealand.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and/or an in-app notice with at least seven days' notice where reasonably possible. The "Last updated" date at the top shows when the Terms were last changed. Continued use of the Service after a change means you accept the updated Terms.
